2. Other important forms of compensation

Compensation based on audit certification work of 85 million yen has been paid to the KPMG group, which belongs to the same network as our certified public accountants, in relation to our overseas consolidated subsidiaries.

3. Nature of non-auditing services by certified public accountants for Anritsu

Non-auditing services for which the Company pays compensation to the certified public accountants include services related to the issuance of comfort letters.

4. Policies to determine audit fees

Following the conclusion of the Ordinary General Meeting of Shareholders held on June 25, 2015, the Company made a transition to a Company with an Audit Committee. In light of effectiveness, efficiency and other factors regarding audits, the Company verifies whether or not the compensation amount allows auditors to sufficiently perform necessary audits and determines the amount of audit fees subject to the approval of the Audit Committee. For the fiscal year ended March 31, 2016, the amount of audit fees was appropriately determined by fully taking into consideration several factors, such as the audit plans by certified public accountants, the subject and scale of the audit and audit hours, with the consent of the Audit Committee.
